Mergers and Acquisitions
The Firm’s strength lies in its ability to do deals. We have represented buyers and sellers in numerous transactions, and Mr. Buffalo’s training includes deals ranging from roll-ups, LBOs to recapitalizations, divestitures, asset and stock acquisitions and mergers. Our focus is to provide the best possible service to smaller transactions, which are often more difficult to complete because every liability, or possible liability, matters. We do this by bringing a highly experienced team to your transaction, using senior personnel to work on your deal from start to finish. This approach gives the Firm a more complete view of the transaction, and this enhanced perspective often during the course of the deal proves helpful in other unforeseen aspects of the transaction.

Securities
The Firm has an active securities practice. We have typically represented issuers rather than underwriters in capital-raising securities transactions, such as private placements. Since July 2004, the Firm acts as US counsel for DR Beachfront Real Estate LLC, a Delaware limited liability company, that recently completed a $50 million land purchase in the Dominican Republic. To raise the funds, the Firm represented DR Beachfront in conducting a private placement with accredited investors for approximately $23 million.

Private Equity
Mr. Buffalo was General Counsel to, and one of the first employees of, ebricks.com, a company that received equity investments from Warburg Pincus. While at Mayer Brown and Paul Weiss, Mr. Buffalo completed numerous private equity deals with JZ Equity Partners PLC, and its affiliate, Jordan Industries, Inc. as well as General Atlantic Partners. This extensive and consistent exposure to private equity gives the Firm perspective and knowledge of issues on both sides of the transaction.

Agreement Drafting Services and Entity Formation
The Firm represents companies and individuals in drafting agreements of all kinds, including operating, employment, consulting, services, joint venture, supply, confidentiality, non-disclosure, stock option and indemnification agreements. The Firm has helped clients to form and launch new companies, whether they are corporations, partnerships, LLCs, S-corps or other organizations. We take pride in the fact that we provide hands-on service not only to new companies seeking to establish themselves, but also to more established companies that want legal documents crafted specifically for them rather than boilerplate.

Lending Practice
The Firm typically represents borrowers accessing funds from smaller institutions and lenders although Mr. Buffalo’s training includes drafting and negotiation of many large (greater than $250 million) credit facilities with major lenders, including Bank of America, Bankers Trust, Barclays and First National of Chicago.
